This situation triggers a review for potential delisting, although the company may qualify for an additional 180-day compliance window if it meets other listing requirements.

DeFi Technologies Fails to Meet Nasdaq $1 Minimum Bid Requirement

DeFi Technologies has encountered a setback in its compliance with Nasdaq regulations after its US-listed DEFT shares closed at $0.6032 on August 31, 2026. This closing price means the company could not fulfill the requirement of maintaining a closing price above $1 for ten consecutive business days, which was necessary to avoid delisting. As a result, DeFi Technologies will undergo an eligibility review by Nasdaq, which could lead to either a second compliance window or a formal delisting determination.

The Nasdaq exchange had previously notified DeFi Technologies on March 5 that its DEFT shares had closed below $1 for 30 consecutive business days as of March 4. The company was granted an initial 180-calendar-day period to rectify this situation, which concluded on September 1. However, the stock's daily closing history indicated that it remained below the $1 threshold throughout August, making it impossible to establish the required consecutive closing-price streak.

According to Nasdaq's compliance criteria, the exchange requires consecutive closing prices above the minimum bid. On the final day of the compliance period, DEFT entered without an active qualifying streak, with its August 31 close being approximately 40% below the required $1 mark. Nasdaq staff can also mandate up to 20 consecutive business days of compliance before confirming that a company meets the necessary listing standards.

If DeFi Technologies wishes to continue trading on Nasdaq, it must notify the exchange in writing of its intent to address the deficiency during any additional compliance period granted. Should the company fail to qualify for this second chance or if Nasdaq staff determines that the deficiency cannot be cured, a written notice of delisting will be issued. The company would then have the option to appeal this decision to a Nasdaq hearings panel.

In anticipation of potential compliance issues, shareholders have already authorized the board to conduct a share consolidation of up to 12-for-1. This authorization allows the board to decide whether and when to implement the consolidation, providing a mechanism to address the per-share requirement while remaining flexible in its approach to Nasdaq compliance. As of September 1, there were no announcements regarding a second compliance period, a delisting determination, or any executed consolidation from the company’s public newsroom or SEC filings.
